These Terms of Service (“Terms”) govern access to and use of the Vigilum website at vigilum.ai and any Vigilum services made available by us, including any invitation-only pilots or beta platform access (collectively, the “Services”). By using the Services, you agree to these Terms.
If you do not agree, do not use the Services.
The Services are provided by SIA Vigilum, a company registered in Latvia (“Vigilum”, “we”, “us”, “our”).
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.
The Vigilum website provides information about Vigilum and enables you to contact us (e.g., demo requests, partnership inquiries, collaboration discussions).
Vigilum may provide access to an invitation-only platform, pilot, beta, or demonstration environment. If we grant you access, your use remains subject to these Terms, plus any additional written terms we provide for that program (for example, security requirements, a Data Processing Agreement, or pilot-specific constraints).
Vigilum may change, suspend, or discontinue any part of the Services at any time.
If the platform is made available to you, you may be required to use provisioned credentials or access methods we provide. You are responsible for maintaining confidentiality of credentials and for all activity under your account. You must promptly notify us of unauthorized access or suspected compromise.
You agree to use the Services lawfully and not to:
If you submit information through website forms or communications, you authorize Vigilum to use it to respond to you and manage the relationship.
Do not submit sensitive personal data or confidential materials through website forms.
If the platform later allows uploads, you may provide documents, text, or other materials (“Customer Content”). You retain ownership of your Customer Content.
You grant Vigilum a limited, non-exclusive, worldwide license to host, process, reproduce, and transform Customer Content only as necessary to provide the Services, including generating outputs, exports, and review artifacts requested by you.
You represent that you have the rights and permissions needed to provide Customer Content and that providing it does not violate law or third-party rights. You are responsible for ensuring you have a lawful basis to provide any personal data contained in Customer Content (if applicable).
The Services may produce outputs such as structural analyses, projections, decision trees, exports, or reports (“Outputs”). As between you and Vigilum, Vigilum retains all rights in the Services and underlying software; you may use Outputs internally for your business purposes, subject to these Terms and any pilot restrictions.
If you receive access to non-public platform features, documentation, or pilots, you agree to keep non-public information about the Services confidential and use it only to evaluate or use the Services as permitted.
If you provide Customer Content via a platform/pilot, Vigilum will treat it as confidential and use it only to provide the Services, except where:

Vigilum and its licensors own all rights in the Services, including software, models, algorithms, designs, and documentation, and all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no rights are granted.
Our Privacy Policy explains how we process personal information in connection with the Services. Where required, we use a cookie consent banner and obtain consent for analytics cookies (e.g., Google Analytics).
Vigilum does not use marketing-site inquiry personal information to train AI models. (Separate customer agreements may address training or improvement terms for platform deployments; absent such agreements, Vigilum will not use your Customer Content to train models in a way that identifies individuals.)
The Services are provided on an “as is” and “as available” basis, without warranties of any kind to the maximum extent permitted by law. Vigilum does not warrant that the Services will be uninterrupted, error-free, or secure.
The Services are not legal advice and do not replace professional judgment.
To the maximum extent permitted by law, Vigilum will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising from or related to the Services.
To the maximum extent permitted by law, Vigilum’s total liability for all claims relating to the Services will not exceed the greater of:

Vigilum may suspend or terminate access to the Services if we reasonably believe you have violated these Terms, pose a security risk, or are using the Services unlawfully. You may stop using the Services at any time.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the “Last Updated” date. Your continued use of the Services after changes means you accept the updated Terms.
These Terms are governed by the laws of Latvia, excluding conflict-of-law rules. Any disputes will be brought in the courts of Latvia, subject to any mandatory protections that apply.
